9. Services Agreement

SERVICES AGREEMENT

Recitals

This Services Agreement ("Agreement") is entered into between Bosar Agency ("Service Provider") and the client identified in the signature block below ("Client"). Service Provider agrees to deliver the social media automation system and related services as outlined in the attached proposal ("Services"). Client agrees to provide necessary access, assets, and timely feedback as specified.

Term

This Agreement begins upon execution and continues until all Services are delivered and accepted by Client, or until terminated by either party with 14 days written notice.

Fees and Payment Terms

Client agrees to pay the fees specified in the Investment section of the proposal. Payment structure: 50% deposit ($1,250) due upon signing, with remaining 50% due upon project completion and Client approval. All invoices are due Net 7 days from invoice date. Late payments accrue interest at 1.5% per month. Service Provider reserves the right to pause work on accounts more than 14 days past due.

Client Responsibilities

Client will provide: (a) timely access to social media accounts and necessary credentials; (b) brand guidelines, image library (200+ photos), and reference materials within 3 business days of project start; (c) feedback and approvals within 2 business days of delivery; (d) one primary point of contact for all project communications. Delays caused by Client may extend delivery timelines proportionally.

Intellectual Property

Service Provider retains all rights to pre-existing intellectual property, proprietary frameworks, code libraries, and methodologies ("Background IP"). Upon full payment, Client receives a perpetual, non-exclusive license to use all custom deliverables created specifically for this project ("Deliverables"). Service Provider may showcase anonymized or generic project elements in portfolio and marketing materials unless Client requests confidentiality in writing.

Confidentiality

Both parties agree to maintain confidentiality of proprietary information exchanged during this engagement for a period of three (3) years following Agreement termination. This excludes information that: (a) is publicly available; (b) was known prior to disclosure; (c) is independently developed; or (d) must be disclosed by law.

Indemnification

Each party agrees to indemnify and hold harmless the other from claims, damages, and expenses (including reasonable attorney fees) arising from: (a) breach of this Agreement; (b) negligence or willful misconduct; or (c) infringement of third-party intellectual property rights, provided the indemnified party provides prompt notice and reasonable cooperation.

Limitation of Liability

Service Provider's total liability under this Agreement shall not exceed the lesser of $500,000 or the total fees paid by Client in the 12 months preceding the claim. Neither party shall be liable for indirect, incidental, consequential, or punitive damages, including lost profits or business interruption, even if advised of such possibility. This limitation applies regardless of the form of action, whether in contract, tort, or otherwise.

General Provisions

This Agreement shall be governed by the laws of the Service Provider's jurisdiction without regard to conflict of law principles. The parties are independent contractors; nothing herein creates a partnership, joint venture, or employment relationship. This Agreement, including the attached proposal, constitutes the entire agreement between the parties and supersedes all prior discussions or agreements. Modifications must be in writing and signed by both parties. If any provision is found unenforceable, the remaining provisions remain in full effect.
