8. Investment

9. Services Agreement

SERVICES AGREEMENT

Parties

This Agreement is entered into between Bosar Agency ("Provider") and Naresh Kotwani / Paris Boston Resort ("Client").

Recitals

Provider specializes in AI automation systems and social media publishing infrastructure. Client operates hospitality properties and requires automated content generation and publishing systems for Instagram, Facebook, and TikTok. Provider will design, build, and deploy custom AI-powered social media automation systems as described in the proposal.

Term

This Agreement begins upon execution and continues until all deliverables are completed, accepted, and paid in full, or until terminated by either party with 7 days written notice.

Fees and Payment

Total project fees as outlined in Investment section. Payment terms: 50% deposit due upon execution ($1,250 for Phase 1; additional amounts for Phase 2/3 if approved), 50% due upon delivery and client approval. Invoices are due Net 7 days. Late payments accrue interest at 1.5% per month. Client responsible for third-party costs (OpenAI, Gemini API usage, platform fees).

Client Responsibilities

Client will provide: (a) timely access to social media accounts and API credentials, (b) 200-300 property images via Google Drive, (c) 5-6 reference video files, (d) property details, amenities, target audience information, (e) designated point of contact for reviews and approvals, (f) feedback within 48 hours of deliverable reviews.

Intellectual Property

Provider retains all rights to pre-existing IP, methodologies, frameworks, and code libraries. Upon full payment, Client receives a perpetual, non-exclusive license to use delivered systems and assets for Client's business operations. Provider may showcase project as case study (with Client approval on specifics disclosed).

Confidentiality

Both parties agree to keep confidential information (business data, systems architecture, pricing, proprietary methods) confidential for 3 years following Agreement termination. Excludes information that is public, independently developed, or required by law to disclose.

Indemnification

Each party indemnifies the other against third-party claims arising from: (a) breach of this Agreement, (b) negligence or willful misconduct, (c) infringement of third-party IP rights. Client indemnifies Provider for claims arising from Client's use of delivered systems or content posted via the systems.

Limitation of Liability

Provider's total liability under this Agreement is limited to the lesser of: (a) $500,000, or (b) total fees paid by Client in the 12 months preceding the claim. Neither party is liable for indirect, incidental, consequential, or punitive damages, including lost profits or business interruption.

Warranty Disclaimer

Provider warrants that services will be performed in a professional manner consistent with industry standards. EXCEPT AS EXPRESSLY STATED, PROVIDER PROVIDES ALL DELIVERABLES "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Provider does not warrant uninterrupted or error-free operation, or that AI-generated content will meet Client's subjective quality standards in all cases.

General Provisions

Independent Contractor: Provider is an independent contractor, not an employee or agent of Client.
Governing Law: This Agreement is governed by the laws of the jurisdiction in which Provider operates, without regard to conflict of law principles.
Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions or agreements.
Amendments: Modifications must be in writing and signed by both parties.
Severability: If any provision is found unenforceable, the remainder of the Agreement remains in effect.
