9. Services Agreement

SERVICES AGREEMENT

Recitals

This Services Agreement ("Agreement") is entered into between Bosar Agency ("Service Provider") and dsada ("Client") for the provision of custom AI system development and integration services as described in this proposal.

Term

This Agreement begins upon execution and continues until completion of deliverables or earlier termination per the terms herein. Either party may terminate with 14 days written notice. Client remains responsible for fees incurred prior to termination.

Fees and Payment Terms

Total project fee: $5,000 (one-time payment).

• Payment due within 7 days of invoice (Net 7 terms)
• Late payments subject to 1.5% monthly interest
• Service Provider reserves the right to pause work on accounts more than 14 days past due

Client Responsibilities

Client agrees to provide timely access to necessary systems, data, credentials, and stakeholder availability required for Service Provider to complete the work. Delays caused by Client unavailability may extend delivery timelines. Client is responsible for maintaining their own system backups and data security practices.

Intellectual Property

Service Provider retains ownership of all background IP, pre-existing tools, frameworks, methodologies, and general architecture patterns. Upon full payment, Client receives ownership of custom deliverables specifically created for this engagement, including code, configurations, and documentation unique to Client's implementation. Service Provider may showcase work in portfolio and case studies unless Client requests confidentiality in writing.

Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement for a period of 3 years following Agreement termination. This excludes information that is publicly available, independently developed, or required to be disclosed by law.

Indemnification

Each party agrees to indemnify and hold harmless the other party from claims arising out of their own negligence, willful misconduct, or breach of this Agreement. Client is responsible for how they use and deploy the delivered system, including compliance with applicable laws and third-party terms of service.

Limitation of Liability

Service Provider's total liability under this Agreement is capped at the lesser of $500,000 or 12 months of fees paid by Client. Neither party is liable for indirect, incidental, consequential, or punitive damages. Service Provider provides deliverables "as-is" and makes no warranties beyond those explicitly stated in this Agreement.

General Provisions

Service Provider operates as an independent contractor. This Agreement does not create an employment, partnership, or joint venture relationship. This Agreement is governed by the laws of Service Provider's jurisdiction. Any modifications must be made in writing and signed by both parties. If any provision is found unenforceable, the remainder of the Agreement remains in effect.
