9. Services Agreement

SERVICES AGREEMENT

Recitals

This Agreement is entered into between Keller Williams Realty Team ("Client") and Bosar Agency ("Service Provider") for the design, development, and deployment of a custom AI voice outreach system and CRM integration as described in the proposal above (the "Services").

Term

This Agreement begins on the date of execution and continues until all Services are completed and payment is received in full, unless terminated earlier in accordance with the terms herein.

Fees and Payment Terms

Total project fee: $3,000, structured as follows:

  • Deposit: $1,500 due upon signing

  • Milestone 1: $1,500 due upon completion of system build, testing, and launch

Payment is due within 7 days of invoice (Net 7). Late payments accrue interest at 1.5% per month.

Client Responsibilities

Client agrees to provide timely access to CRM systems, lead data, sample call scripts, and feedback necessary for system design and optimization. Delays in providing required materials may extend project timelines.

Intellectual Property

Service Provider retains all rights to background IP, frameworks, and proprietary tools used in delivering the Services. Upon full payment, Client receives a perpetual, non-exclusive license to use all custom deliverables (voice agent, integrations, scripts) for internal business purposes. Client may not resell, redistribute, or repurpose the system for third-party use without written consent.

Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during this engagement for a period of 3 years following project completion.

Indemnification

Each party agrees to indemnify and hold harmless the other from claims arising out of their own negligence, misconduct, or breach of this Agreement.

Limitation of Liability

Service Provider's total liability under this Agreement is capped at the lesser of $500,000 or the total fees paid by Client in the 12 months preceding the claim. Neither party is liable for indirect, incidental, or consequential damages.

General Provisions

Service Provider operates as an independent contractor. This Agreement is governed by the laws of the state in which Service Provider is domiciled. Any modifications must be made in writing and signed by both parties.
