9. Services Agreement

SERVICES AGREEMENT

Agreement Overview

This Services Agreement ("Agreement") is entered into between Bosar Agency ("Service Provider") and Naresh Kotwani on behalf of Paris Boston Resort and affiliated properties ("Client"), effective upon execution by both parties.

Recitals

WHEREAS, Service Provider specializes in custom AI and automation system development for service businesses; and WHEREAS, Client desires to engage Service Provider to build an AI-powered social media content generation and publishing system for Instagram and Facebook, with optional video generation validation; NOW THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. Scope of Services

Service Provider shall deliver the following:

  • AI-powered content generation engine using Gemini for image enhancement and caption creation

  • Multi-platform auto-publishing system for Instagram and Facebook

  • AI comment responder trained on Client's hotel services and policies

  • One-button approval dashboard for human oversight

  • AI video generation validation using Sora 2 and VO 3.1 models

  • Optional full video automation system upon Client approval of validation results

  • System handoff, training, and 48-hour post-launch monitoring

2. Term

This Agreement commences upon execution and continues until all deliverables are completed and accepted by Client, or until terminated in accordance with Section 8.

3. Fees and Payment Terms

Client shall pay Service Provider as follows:

  • Instagram/Facebook Content & Publishing System: $2,000 (50% deposit of $1,000 due upon execution; 50% due upon completion and approval)

  • AI Video Generation Validation: $500 (due upon completion of validation deliverables)

  • Full Video Automation System (optional): $1,500 (due upon completion if Client approves validation results)

Payment terms are Net 7 days from invoice date. Late payments accrue interest at 1.5% per month. Client is responsible for all AI model usage costs (OpenAI, Gemini, Sora, VO tokens) billed directly by third-party providers.

4. Client Responsibilities

Client shall provide:

  • 200-300 hotel images via Google Drive within 48 hours of Agreement execution

  • 5-6 one-minute reference videos showing desired content style and brand standards

  • Access credentials for Instagram and Facebook business accounts

  • Timely feedback and approval on deliverables (within 48 hours of submission)

  • Designated point of contact for system training and handoff

5. Intellectual Property

Service Provider retains all rights to background IP, including pre-existing code, frameworks, methodologies, and tools. Upon full payment, Client receives a perpetual, non-exclusive license to use all custom deliverables (content generation workflows, publishing integrations, dashboard interface) for internal business purposes. Client owns all generated content (images, captions, videos) produced by the system.

6. Confidentiality

Both parties agree to maintain confidentiality of all proprietary information exchanged during this engagement for a period of three (3) years following Agreement termination. This obligation survives termination of this Agreement.

7. Warranties and Disclaimers

Service Provider warrants that all deliverables will be performed in a professional and workmanlike manner consistent with industry standards. SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Service Provider does not warrant that AI-generated content will meet Client's subjective quality standards; validation phases exist to determine suitability.

8. Indemnification

Each party agrees to indemnify and hold harmless the other party from any claims, damages, or expenses arising from (a) breach of this Agreement, (b) negligence or willful misconduct, or (c) violation of applicable laws. Client is solely responsible for ensuring all published content complies with platform terms of service and applicable regulations.

9. Limitation of Liability

Service Provider's total liability under this Agreement shall not exceed the lesser of (a) $500,000 or (b) the total fees paid by Client in the twelve (12) months preceding the claim. NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR BUSINESS INTERRUPTION.

10. Termination

Either party may terminate this Agreement with seven (7) days written notice if the other party materially breaches and fails to cure within that period. Upon termination, Client shall pay for all work completed through the termination date. Sections 5, 6, 7, 8, and 9 survive termination.

11. General Provisions

Independent Contractor: Service Provider is an independent contractor, not an employee or agent of Client. Governing Law: This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles. Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior negotiations or agreements. Modifications must be in writing and signed by both parties. Severability: If any provision is found unenforceable, the remainder of this Agreement remains in full effect. Assignment: Neither party may assign this Agreement without prior written consent, except Service Provider may assign to an affiliate or successor entity.
