Services Agreement

Recitals

This Agreement is entered into between Bosar Agency ("Service Provider") and the client identified in this proposal ("Client") for the provision of AI automation system development services as described herein.

Term

This Agreement commences upon execution and continues until all deliverables are completed and accepted, unless terminated earlier in accordance with these terms.
\n\n
Fees and Payment
\n
Client agrees to pay Service Provider the fees specified in the Investment section of this proposal. Payment terms are Net 7 days from invoice date. A deposit of $1,500 is due upon execution to commence work, with milestone payments as outlined. Late payments accrue interest at 1.5% per month. Service Provider reserves the right to suspend work on accounts more than 14 days past due.

Client Responsibilities

Client agrees to provide timely access to necessary accounts, assets, and information including but not limited to: social media account credentials, Google Drive photo libraries, brand guidelines, and reference materials. Delays caused by Client's failure to provide required materials may extend delivery timelines. Client is responsible for all third-party service costs including API usage fees from OpenAI, Gemini, or other AI providers.

Intellectual Property

Service Provider retains all rights to pre-existing intellectual property, frameworks, and methodologies used in delivering services. Upon full payment, Client receives a perpetual, non-exclusive license to use all custom deliverables created specifically for Client under this engagement. Service Provider may use de-identified case studies and general descriptions of work performed for portfolio and marketing purposes.

Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during this engagement for a period of three (3) years following completion. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Indemnification
\n
Each party agrees to indemnify and hold harmless the other party from claims arising out of its own negligence, willful misconduct, or breach of this Agreement. Client acknowledges that AI-generated content should be reviewed before publication and assumes responsibility for all published content.

Limitation of Liability
\n
Service Provider's total liability under this Agreement shall not exceed the lesser of $500,000 or the total fees paid by Client in the twelve (12) months preceding the claim. Neither party shall be liable for indirect, incidental, consequential, or punitive damages.

General Provisions
\n
Service Provider is an independent contractor, not an employee or agent of Client. This Agreement shall be governed by the laws of the jurisdiction in which Service Provider operates. Any modifications must be made in writing and signed by both parties. If any provision is found unenforceable, the remainder of the Agreement remains in effect.
