9. Services Agreement
SERVICES AGREEMENT
Recitals
This Services Agreement ("Agreement") is entered into as of the date of execution by and between the Client identified above ("Client") and Bosar Agency ("Provider"). Client desires to retain Provider to deliver AI voice agent and CRM integration services as described in this proposal. Provider agrees to deliver such services in accordance with the terms and scope outlined herein.
Term
This Agreement begins on the date of execution and continues until all deliverables are completed and final payment is received, or until terminated by either party with written notice.
Fees and Payment Terms
Client agrees to pay Provider the total fees outlined in the Investment section of this proposal. Payment is structured as follows:
- Deposit of $1,500 due upon signing
- Milestone 1 payment of $1,500 due upon completion of testing phase and prior to live deployment
All payments are due within seven (7) days of invoice date (Net 7). Late payments will incur interest at a rate of 1.5% per month. Provider reserves the right to pause or suspend services if payment is overdue by more than 10 days.
Client Responsibilities
Client agrees to:
- Provide timely access to CRM systems, form integrations, and any necessary credentials
- Respond to requests for feedback, script approval, and testing results within 3 business days
- Designate a primary point of contact for the duration of the engagement
- Provide qualification criteria, lead routing preferences, and brand voice guidelines during discovery
Delays caused by Client's failure to provide required information or access may extend project timelines and are not grounds for refund or fee adjustment.
Intellectual Property
Provider retains all rights to pre-existing intellectual property, proprietary methods, frameworks, and technology used in the delivery of services ("Background IP"). Upon receipt of full payment, Provider grants Client a perpetual, non-exclusive license to use all custom deliverables created specifically for Client under this engagement, including but not limited to AI scripts, voice agent configurations, and CRM integration logic. Client may not resell, redistribute, or repurpose such deliverables for use by third parties without Provider's written consent.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the engagement. This obligation survives for three (3) years following the termination or completion of this Agreement. Confidential information does not include information that is publicly available, independently developed, or disclosed with the owner's consent.
Indemnification
Each party agrees to indemnify and hold harmless the other party from any claims, damages, or expenses arising out of their own negligence, willful misconduct, or breach of this Agreement.
Limitation of Liability
Provider's total liability under this Agreement, whether in contract, tort, or otherwise, shall not exceed the greater of $500,000 USD or twelve (12) months of fees paid by Client to Provider. Neither party shall be liable for indirect, incidental, consequential, or punitive damages.
General Provisions
Provider is an independent contractor and not an employee or agent of Client. This Agreement shall be governed by the laws of the jurisdiction in which Provider operates. Any disputes shall be resolved through binding arbitration or in the courts of that jurisdiction. This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or representations. Modifications must be made in writing and signed by both parties.
