9. Services Agreement
SERVICES AGREEMENT
Recitals
This Services Agreement ("Agreement") is entered into between Bosar Agency ("Service Provider") and BusUp ("Client") for the provision of AI voice and chat system design, development, and integration services as outlined in the attached proposal.
1. Term
This Agreement commences upon execution and continues until all deliverables specified in the proposal are completed and accepted by Client, or until terminated by either party with 15 days' written notice.
2. Fees and Payment
Client agrees to pay Service Provider the fees specified in the Investment section of the proposal. Payment terms are Net 7 days from invoice date. Late payments will accrue interest at 1.5% per month. Service Provider reserves the right to pause work if payment is more than 15 days overdue.
3. Client Responsibilities
Client agrees to:
- Provide timely access to necessary systems, APIs, documentation, and personnel
- Provide knowledge base materials and policy documentation as required
- Respond to requests for feedback and approvals within 5 business days
- Ensure API endpoints and system integrations are available and functional during development
4. Intellectual Property
Service Provider retains all rights to pre-existing intellectual property, tools, frameworks, and methodologies ("Background IP"). Upon full payment, Client receives a perpetual, non-exclusive license to use Background IP incorporated into deliverables. All custom deliverables created specifically for Client transfer to Client upon full payment.
5. Confidentiality
Both parties agree to maintain confidentiality of all proprietary information shared during the engagement for a period of three (3) years following Agreement termination. This excludes information that is publicly available or independently developed.
6. Indemnification
Each party agrees to indemnify and hold harmless the other party from any claims, damages, or expenses arising from: (a) breach of this Agreement, (b) negligence or willful misconduct, or (c) violation of applicable laws.
7. Limitation of Liability
Service Provider's total liability under this Agreement shall not exceed the lesser of $500,000 or the total fees paid by Client in the twelve (12) months preceding the claim. Neither party shall be liable for indirect, incidental, or consequential damages.
8. General Provisions
Service Provider operates as an independent contractor. This Agreement shall be governed by the laws of Poland. Any disputes shall be resolved through binding arbitration. This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements. Modifications must be made in writing and signed by both parties.
